Consulting Agreement
You (“Customer”, “You”, “you”, “Your”, “your”) are bound by this Consulting Agreement (“Agreement”) when you purchase consultation services (“Services”) from Alan Moreno (“MR. PMO”, “Consultant”) or via http://www.mrpmo.com (‘Website”). You also agree to be invoiced by the Consultant. This Agreement is made and entered into as of the Effective Date (as defined below) by and between the Consultant and the Customer.
Services
The Consultant agrees to provide the Customer with consultation services. The Services include advice, guidance, or training on project management, program management, portfolio management, process improvement, business processes, and/or career advice. The Customer is of the opinion that the Consultant has the necessary qualifications, experience, and abilities to provide the Services to the Customer. The Consultant will provide the Services to the Customer by phone and/or video call only and will not be provided in person.
Time
The Consultant’s website is http://www.mrpmo.com (“Website”). The Services will be provided on the date and time scheduled using Calendly (a third-party scheduling platform). The Customer agrees to the Services duration (as defined on the Website). The Consultant’s regular business hours are 8:00 AM to 9:00 PM Eastern Time, Monday through Friday.
Fees
The Customer will pay the Consultant a fee (to be defined by the Consultant and the Customer) in US Dollars for the Services. The fee for the Services is due and payable at online checkout or within 30 days of the invoice date. If payment is not received within 30 days of the invoice date, a late fee of 10% will be assessed. Payment can be made in one of two ways:
- The Customer can click on a link on the Website and pay the fee for Services using Stripe (a third-party online payment processor).
- The Consultant can send the Customer an invoice via email. The invoice will include a link for the Customer to pay the fee for Services using Stripe.
- The Consultant reserves the right to refund, refuse, or cancel any payment.
Independent Contractor Relationship
The Consultant’s relationship with Customer will be that of an independent contractor, and nothing in this Agreement is intended to, or should be construed to, create a partnership, agency, joint venture, or employment relationship. No part of the Consultant’s compensation will be subject to withholding by the Customer for the payment of any social security, federal, state, or other employee payroll taxes.
Confidentiality
The Consultant agrees to keep all information provided by the Customer confidential. This information includes, but is not limited to, the Customer’s business plans, financial information, and other proprietary information. The Consultant may use the confidential information solely to perform the Services under this Agreement for the Customer’s benefit.
Disclaimer of Liability
The Consultant does not provide legal, financial, or tax advice. The Services are for guidance and advice based on the Consultant’s professional experience. The Customer is responsible for their own decisions and actions, and the Consultant is not liable for any damages that may result from the Customer’s use of the Services.
Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement, and the remaining provisions shall remain in full force and effect.
Governing Law
This Agreement shall be governed by and construed by the laws of the State of Virginia in the United States.

Effective Date
This Agreement shall become effective when Customer purchases Services from the Consultant or agrees to be invoiced by the Consultant.
